Business Formations and Entity Management
At Dworak Law Office LLC, we assist clients with business entity formations, ensuring that the legal structure aligns with their strategic goals and long-term success. We advise on entity selection and governance structures​ and help with a wide variety of business entity types including ​​limited liability companies (LLCs), corporations (S-Corps and C-Corps), partnerships, and sole proprietorships. We can submit formation document to the relevant state offices, obtain employer identification numbers (EINs) from the IRS and assist with initial tax election documentation.
For established businesses, we also assist with entity management and corporate reorganizations. In this area, we also advise on compliance with and can assist with Corporate Transparency Act (CTA) filings.​

Commercial Contracts
We offer sound guidance in negotiating and drafting commercial contracts, safeguarding our clients' interests and fostering successful business relationships, while ensuring that your business is well protected. We regularly draft, review and negotiate nondisclosure agreements (NDAs), consulting agreements, independent contractor agreements, master service agreements (MSAs), distribution agreements, development agreements, supply agreements, equipment leases and software licenses.

We also review and negotiate employment agreements (and related equity incentive arrangements) on behalf of professionals (including doctors/physicians) and executives. ​
Mergers and Acquisitions (M&A)
Our firm provides comprehensive legal support on mergers and acquisitions and joint venture transactions, delivering tailored strategies for seamless deals. We draft, review and negotiate merger agreements, purchase and sale agreements, stock purchase agreements, asset purchase agreements, membership interest purchase agreements, subscription agreements, joint venture agreements, joint development agreements and many similar transaction documents. We also conduct thorough legal due diligence and can assist sellers with responding to due diligence questions.

We also help with initial preparation and filing of Form 1023 or Form 1023-EZ for 501(c)(3) organizations and provide advice on the annual Form 990 filing requirement.
Outside General Counsel Services
We also serve as outside or fractional general counsel to your business, providing legal guidance and contract and corporate governance support and risk management advice as if we were a member of your team, with flexible billing arrangements possible, including monthly retainers, block hours or flat fees.

Founder and Attorney
Bryan J. Dworak
I began my legal career at Foley & Lardner LLP, the largest law firm in Wisconsin and one of the largest in the United States as a member of their Business Law Department, Finance Practice Group and Energy Sector. I also have experience as an in-house lawyer at a rapidly-growing, private-equity backed energy company in New York City. I am a native of Wisconsin, but received my Juris Doctor from Duke University School of Law, magna cum laude, and my Bachelor of Arts from the University of North Carolina at Chapel Hill with honors and highest distinction, where I majored in Political Science and Global Studies. At Duke, I was an Executive Editor of Law & Contemporary Problems and a member of the Moot Court Board. At UNC, I was a member of Phi Beta Kappa and Pi Sigma Alpha and received the Terry Sanford Award for Excellence, which was awarded by the Political Science Department for the best undergraduate thesis. I also previously served as a judicial intern for The Honorable Stephani W. Humrickhouse (Ret.) on the U.S. Bankruptcy Court for the Eastern District of North Carolina.
